1. Agreement

These terms apply to the website cryptominingsites.io, our Telegram group and bots, our listing alert emails and any inquiry you send us (together, the "Service"). "We", "us" and "our" means CryptoMiningSites.io. By using the Service you agree to these terms and to our Privacy policy. If you do not agree, please do not use the Service.

2. Who can use the Service

You must be 18 or older (or the age of majority where you live) and able to enter into a binding contract. If you act for a business, you confirm you are authorized to do so, and "you" includes that business.

3. What we do and do not do

We publish information about mining sites, land, facilities and hosting capacity offered for sale, lease or colocation, and we introduce interested parties to each other. We are not a party to any transaction between a buyer, seller, landlord, tenant or hosting provider, and we do not hold funds for anyone.

Nothing on the Service is investment, financial, legal, tax, engineering or real estate advice, and nothing is an offer to sell or a solicitation to buy any security. Decisions you make are your own; take independent professional advice before you commit.

4. Listings are indicative

Listings are provided by owners, operators, partner brokers and other sources. Capacity, power prices, terms, locations, photos and availability are indicative, may be approximate and can change or be withdrawn at any time. Photos may be illustrative or blurred. Prices are shown in US dollars and power rates in US cents per kWh; amounts converted from other currencies are estimates. We do not guarantee that any listing is accurate, complete, current or still available. You are responsible for your own due diligence, including power supply, permits, zoning, title, grid interconnection and contract terms.

New listings may appear in our Telegram group before they appear on the website.

5. "Verified", "confirmed" and similar labels

When we mark an inquiry or a listing as verified or confirmed, it only means our desk has reviewed it and found it complete and genuine enough to act on at that time. It is not an endorsement, guarantee, valuation or warranty of any site, party, price or outcome.

6. Introductions, confidentiality and non-circumvention

Details we share privately (such as exact locations, photos, utility agreements, data rooms and the identity of a seller, buyer or provider) are confidential. Use them only to evaluate the opportunity, and do not pass them on except to your own advisers who keep them confidential.

If we introduce you to a party or a site you did not already know about, you agree not to go around us: for 24 months after the introduction, you will not deal directly or through others with that party about that site, or a site you learned of through us, without our written consent. If you already knew of the party or site, tell us in writing within 5 business days of the introduction.

7. Fees

Browsing the website, joining the Telegram group, receiving alerts and sending an inquiry are free. Any fee or commission for an introduction or a transaction is agreed in a separate written agreement before we act on it. Nothing is owed to us without such an agreement, except where you break section 6.

8. Listing your site with us

When you submit a site, you confirm that you own it or are authorized to offer it, and that what you tell us is true and not misleading. We may review, edit for format and length, decline, pause or remove any listing at our discretion, and we may post it in our Telegram group before the website. You give us a non-exclusive, worldwide, royalty-free license to publish, adapt (for example blur) and share the information and photos you send, for as long as the listing is offered and for our records afterwards. Tell us promptly when a site is sold, leased or no longer available.

9. Using the Telegram group and the Service

Do not post spam, scams, false or misleading listings, or unsolicited promotion; harass or impersonate anyone; share other people's personal data or confidential information; or try to scrape, overload, break or get around the security of the Service. Moderators may remove content and remove or restrict members at any time. Messages in the group are visible to other members; do not post anything you want to keep private.

10. Other services

Telegram, WhatsApp, email providers and other websites we link to are run by third parties under their own terms. We are not responsible for them or for content or conduct of other users.

11. Our content

The website design, text, map, graphics and logos belong to us or our licensors. You may view and share links to listings for your own evaluation, but you may not copy, republish or sell the listings database or the site content without our written permission.

12. Disclaimer

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement, and we do not promise the Service will be uninterrupted or error-free.

13. Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, mining output or business opportunities, arising from the Service, any listing, any introduction or any transaction between users, even if we were told they were possible. Our total liability for any claim relating to the Service is limited to the greater of US$100 or the fees you paid us for the service that gave rise to the claim in the 12 months before it. Some laws do not allow these limits, so they apply only as far as the law allows.

14. Your responsibility

You agree to indemnify and hold us harmless from claims, losses and reasonable costs (including legal fees) arising from your breach of these terms, information you submit, or your dealings with other users.

15. Governing law and disputes

These terms are governed by the laws of the State of Texas, USA, and applicable US federal law, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Texas, and you and we consent to their jurisdiction. Before starting a claim, please contact us so we can try to resolve it informally within 30 days.

16. General

We may update these terms; the date below shows the latest version, and continued use of the Service means you accept the update. If any part of these terms is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver of it. You may not transfer your rights under these terms without our consent.
